Proposed Bylaw Changes

 Summary of Major Revisions
The proposed revised bylaws include the following principal updates:
1. Clarification of Membership Categories and Rights. The bylaws were updated to better define
and delineate voting and non-voting membership categories, for ease of classification and review.
2. Updates to Executive Board Structure and Roles. The revisions clarify the composition of the
Executive Board, officer responsibilities, representative positions, and applicable terms of
service.
3. Modernized Governance Procedures in Accordance with Changes in Law. The bylaws were
revised to address current governance practices, including Board and member meetings,
quorum, voting, written consents, electronic participation, and action without a meeting.
4. Revisions to Election, Vacancy, and Removal Procedures. The bylaws were updated to
provide clearer procedures for nominations and elections and to align all elections with the
Annual Business Meeting.
5. Reference for Conflict-of-Interest Policy. The revisions include a reference to the IGFOA
Conflict of Interest policy, as required by latest US Treasury Regulations.

The proposed revisions do not change the Association’s overall mission or core purpose. Rather, they
are intended to ensure that the bylaws remain current, internally consistent, and useful as a
governing document for the Association.
